End User License Agreement (EULA)

This EULA governs your use of GENKO (Genko Comic) as a SaaS product. It supplements our Terms and Conditions and Privacy Policy. If there is a conflict, this EULA controls for licensing matters.

1. Introduction & Acceptance

This End User License Agreement (“Agreement” or “EULA”) is a legal agreement between you (“User”, “you”) and GENKO (“we”, “us”, “our”) for your use of the Genko Comic platform, including our website, comic builder, AI image editor, 3D pose editor (with preset/FBX Mixamo support), bubble speech editor, character creator, comic meme editor, and related SaaS services (collectively, the “Software” or “Service”).

By creating an account, accessing the Service, or clicking “I Agree” at checkout or signup, you accept this Agreement. If you do not agree, do not install, access, or use the Software. You must be at least 13 years old (and have parental consent if under 18).

2. License Grant

Subject to your compliance with this Agreement and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software via its web interface for your personal or internal business purposes during your active subscription period.

  • The Software is licensed, not sold. You obtain only the rights expressly granted.
  • Your plan (free or paid via Whop/MoonPay, or legacy LemonSqueezy) determines feature limits, credits, and AI-generation quotas.
  • No ownership interest is conveyed. All rights not expressly granted are reserved by us and our licensors.

3. License Restrictions

You agree not to:

  • Copy, modify, translate, adapt, or create derivative works of the Software except for your own User Content created with it
  • Reverse engineer, decompile, disassemble, or attempt to derive source code, models, or underlying AI prompts
  • Sell, rent, lease, sublicense, distribute, or provide the Service on a standalone basis to third parties
  • Circumvent, disable, or interfere with paywalls, credit limits, rate limits, or access controls
  • Use bots, scrapers, or automated extraction beyond the documented UI/API
  • Remove, alter, or obscure copyright, trademark, or proprietary notices
  • Use the Service for illegal, infringing, or harmful purposes

4. Ownership & Intellectual Property

4.1 Our IP

The Software, its features, design, code, AI workflows, and branding are owned by Genko Comic and protected by copyright, trademark, and other IP laws. Fonts provided through the editor (see Font Licenses) remain owned by their respective authors under their own open-source/freeware licenses.

4.2 Your Content

You retain ownership of the comics, images, poses, FBX files you upload (e.g., Mixamo), character sheets, bubble dialogue, and other content you create or upload (“User Content”). You grant us a worldwide, non-exclusive, royalty-free license solely to host, render, and display your User Content as needed to provide the Service to you. You represent you have the rights to input and generate such content, including compliance with Mixamo/FBX and AI provider terms.

5. AI Features & User Responsibilities

The Service integrates AI providers (e.g., Gemini, ChatGPT, Grok, Pollination) for image/video generation. AI outputs may be unpredictable and may not be unique. You are responsible for reviewing AI outputs before publishing.

  • You must not generate content that is illegal, harmful, harassing, hateful, sexually explicit involving minors, or that infringes third-party rights.
  • Commercial use of AI outputs depends on your subscription plan and the underlying AI provider’s terms — verify eligibility for your use case.
  • You must not misrepresent AI-generated content as human-created where disclosure is legally required.
  • We may filter, limit, or remove generations that violate this Agreement.

6. Subscriptions, Fees & Refunds

Paid access is offered as a recurring subscription via our current processors: Whop (cards and supported methods) and MoonPay (crypto). LemonSqueezy is retained only for legacy subscribers and is deprecated for new purchases.

  • Fees are billed in advance per billing cycle. See Pricing for current plans.
  • All fees are non-refundable and all sales final once access is delivered — see our Return & Refund Policy. Crypto payments via MoonPay are irreversible on-chain and never refundable.
  • You may cancel at any time via the Whop customer portal (or LemonSqueezy portal for legacy) to stop future renewals; access continues until the current period ends with no prorated refund.

7. Third-Party Services & Content

The Software depends on third parties:

  • Payment: Whop, MoonPay, and legacy LemonSqueezy — their terms govern payment processing.
  • AI Providers: Gemini, ChatGPT, Grok, Pollination, etc. — their acceptable use policies apply.
  • 3D Assets: FBX models uploaded from Mixamo or elsewhere must comply with Mixamo/Adobe terms. You warrant you have rights to upload and pose them.
  • Fonts: Licensed as described at /font-licenses.

We are not responsible for third-party service outages or terms, but will reasonably assist with billing questions at support@genkomik.com.

8. Updates, Availability & Support

We may update, enhance, or modify the Software at any time. Features or AI models may change. We do not guarantee uninterrupted or error-free operation; the Service is provided “as is” and “as available.” We will use reasonable efforts to maintain availability and provide support via documentation at /docs and email.

9. Privacy & Data

Our collection and use of data is described in the Privacy Policy. By using the Software you consent to processing as described there, including processing by Supabase, Whop, MoonPay, and AI sub-processors.

10. Termination

This EULA is effective until terminated. You may terminate by stopping use and cancelling your subscription. We may suspend or terminate your license and account immediately, without prior notice, if you breach this Agreement. Upon termination, your right to use the Software ceases; you should export your User Content beforehand — we are not liable for data loss. Sections that by their nature should survive (Ownership, Disclaimers, Limitation of Liability) survive.

11. Disclaimers

THE SOFTWARE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR FREE OF ERRORS, OR THAT AI OUTPUTS WILL MEET YOUR REQUIREMENTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL GENKO COMIC OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM (OR $50 IF YOU PAID NOTHING).

13. Governing Law & Disputes

This Agreement is governed by applicable laws without regard to conflict-of-laws principles. Any dispute arising from this Agreement shall be resolved through good-faith negotiation, and if unresolved, through binding arbitration or the courts of competent jurisdiction as required by local law. Consumer mandatory protections remain unaffected.

14. Changes to This EULA

We may modify this EULA by posting a revised version with an updated “Last updated” date. Material changes will be notified via email or in-app. Continued use after changes constitutes acceptance. If you do not accept the changes, stop using the Service and cancel your subscription before renewal.

15. General

This EULA, together with the Terms and Conditions, Privacy Policy, and Return & Refund Policy, constitutes the entire agreement regarding the Software license. If any provision is held unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. You may not assign this Agreement without our consent.
